Antamena Capital Corp. (“Antamena”), the predecessor corporation, was incorporated on March 28, 2007, pursuant to the provisions of the Business Corporations Act (British Columbia) as a capital pool company pursuant to Policy 2.4 – Capital Pool Companies (the “CPC Policy”) of the TSX Venture Exchange (the “Exchange”). Antamena completed its initial public offering on August 2, 2007 and its common shares were listed on the TSX Venture Exchange under the symbol ANT.
Orca Minerals Limited was incorporated on July 17. 2007, under the Business Corporations Act (Ontario). Orca was established as a subsidiary of Minco plc, a company incorporated under the laws of the Republic of Ireland whose shares are listed for trading on the London Alternative Investment Market (“AIM”) under the trading symbol MIO. Orca acquired certain Mexican properties owned by Minco plc (“Minco”) for which it issued 30,000,003 shares.
XTIERRA is a natural resource company with the primary business objective of exploring for and developing base and precious metals deposits on properties in which it holds interests located in and around the Central Mexican Mineral Belt in the States of Zacatecas and San Luis Potosi, Mexico (the “Properties”) with a view to undertaking a production feasibility study and, if warranted, the commencement of commercial production from the deposits located on the Properties at the earliest opportunity. The Properties and XTIERRA’s ownership and joint venture interests therein and thereto are sometimes collectively referred to as the “Zacatecas Projects”.
